Risk Disclosure Statement

This Risk Disclosure Statement describes the principal risks associated with using the Skarbix digital asset settlement service, provided by AF Capital Inc. ("Skarbix"). Please read it carefully before entering into a Digital Asset Settlement Agreement or submitting a Payment Instruction Mandate.

1. Skarbix is a settlement service, not an investment

Skarbix converts digital assets you already hold into fiat currency and remits the proceeds to a third party on your behalf, against a documented underlying transaction. It is not an investment product, savings account, or trading service, and does not offer any return on the digital assets converted.

2. Exchange rate risk

Digital assets are converted to fiat currency at the market exchange rate applicable on the settlement date, which may differ materially from the rate at the time you submit a Payment Instruction Mandate. Digital asset prices can be highly volatile; the fiat-equivalent value of your assets may be materially lower or higher on the settlement date than expected. Skarbix does not guarantee, hedge, or fix exchange rates in advance unless expressly agreed in writing.

3. Dependency on banking relationships

Settlement to third parties is carried out through AF Capital Inc.'s banking relationships in the EU, subject to standard transaction monitoring. Banking partners may, at their discretion, delay, request additional information for, or decline a specific transaction — including after digital assets have been received and converted — based on their own risk assessment, sanctions screening, or regulatory requirements. Such delays or declines are outside Skarbix's control.

4. Dependency on the underlying transaction

Skarbix's role is limited to conversion and remittance of funds to the Recipient you designate. We are not a party to, and do not verify the substance, fairness, or ultimate completion of, the underlying transaction (e.g. a property purchase, investment subscription, or service agreement) between you and the Recipient. If the Recipient fails to perform, or the underlying transaction fails for any reason, this is a matter between you and the Recipient; Skarbix's remittance obligation, once completed, is not reversible.

5. Rejected or returned funds

If a Recipient rejects or is unable to receive remitted funds, Skarbix will hold or return the funds to you, net of any fees already incurred and any conversion losses arising from exchange rate movement between the original settlement and the return. You bear this risk.

6. Compliance and documentation risk

Each Payment Instruction Mandate requires supporting documentation (e.g. a sale-purchase agreement or invoice) and is subject to Skarbix's KYC/AML review, including verification of the Recipient. Skarbix may decline any Mandate, at its sole discretion, where documentation is insufficient or the transaction cannot be adequately verified — including after digital assets have already been transferred. In such cases, assets will be converted back and returned to you, subject to applicable fees and exchange rate movement.

7. Blockchain and settlement finality risk

Digital asset transfers are irreversible once confirmed on the relevant blockchain network. Skarbix cannot recover assets sent to an incorrect wallet address, or reverse a transfer once the required number of network confirmations has been received.

8. Regulatory risk

The regulatory treatment of digital assets and third-party settlement services continues to evolve in Canada, the EU, and elsewhere. Changes in law or regulatory guidance could affect Skarbix's ability to provide the service, or the terms on which it is provided.

9. No guarantee of outcome

Nothing in this Statement, or in any communication from Skarbix, should be read as a guarantee of a particular exchange rate, settlement timeline, or transaction outcome. You should only use the Skarbix service for amounts and transactions where you have considered and accepted the risks described above.

If you are unsure about any aspect of the risks described in this Statement, you should seek independent legal, financial, or tax advice before proceeding.
